Terms & Conditions

1. Scope
​

These terms apply to all services provided by Otth IT Consulting, including IT audits, strategy advisory, and project leadership.
By accepting a quotation or service agreement, the Client agrees to these Terms & Conditions.

2. Engagement & Changes
​
  • The agreement is valid upon written acceptance (signature or email confirmation).

  • Any change in scope, timing, or content of the engagement must be mutually agreed in writing.

​

3. Consultant’s Obligations
​
  • Deliver services with diligence, professionalism, and according to ITIL best practices.

  • Inform the Client of any risk, delay, or issue affecting the project.

​

4. Client’s Obligations
​
  • Provide accurate information, access, and timely feedback required for the services.

  • Actively collaborate and validate deliverables as agreed.

​

5. Confidentiality
​

Both parties agree to maintain confidentiality on all information exchanged during and after the engagement (for 3 years after completion).

​

6. Intellectual Property
​

Deliverables provided to the Client may be used for internal purposes only.
All methodologies, frameworks, and tools remain the property of Otth IT Consulting.

7. Fees & Expenses
​
  • Fees are defined in the quotation (hourly, daily, or fixed rate).

  • Reasonable travel or accommodation expenses will be reimbursed if agreed in advance.

  • Payment terms: 30 days net from invoice date.

8. Liability
​

The Consultant is only liable for direct damages caused by gross negligence or willful misconduct.
Total liability is limited to the total amount invoiced for the respective project.

9. Term & Termination
​

The agreement ends upon completion of the agreed services.
In case of early termination, the Client shall pay for the work performed and any costs incurred.

10. Force Majeure
​

Neither party shall be held responsible for delays or failure caused by force majeure (natural disasters, illness, war, major outage, etc.).

​

11. Governing Law & Jurisdiction
​

These Terms are governed by Swiss law.
Any dispute shall be brought before the competent courts of the Canton of Neuchâtel, unless otherwise agreed in writing.
